You are solely responsible for maintaining the confidentiality of your account login credentials, including your username and password. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

  • Promptly pay all charges associated with your orders, including applicable taxes and delivery fees.
  • Respect the intellectual property rights of Imos Pizza and third parties.

  • Fraudulent Orders: Placing orders without the intent to pay, using stolen or fraudulent payment methods, or engaging in any form of payment fraud.
  • Unauthorized Access: Attempting to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website, through hacking, password mining, or any other illegitimate means.

6. Ordering, Payments, and Pricing

6.1 Order Placement

When you place an order through our Website, you are making an offer to purchase food and/or beverages at the listed price. We reserve the right to accept or reject your order for any reason, including but not limited to item unavailability, errors in pricing, or suspected fraudulent activity. An order confirmation sent to your email does not constitute final acceptance; acceptance occurs when we begin preparing your order.

6.2 Pricing and Taxes

All prices displayed on the Website are in United States Dollars (USD) and are subject to change without prior notice. Applicable federal, state, and local sales taxes will be added to your order total as required by law. Delivery fees, service charges, and other applicable fees will be disclosed at checkout prior to completing your order.

6.3 Payment Methods

We accept major credit and debit cards, as well as any other payment methods listed at checkout. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and that the payment information you provide is accurate and complete. We use industry-standard encryption and security protocols to protect your payment information; however, we are not responsible for unauthorized access to your payment data by third parties outside our reasonable control.

6.4 Refunds and Cancellations

Once an order has been confirmed and preparation has begun, cancellations may not be possible. If you experience a problem with your order — such as receiving an incorrect or damaged item — please contact us at [email protected] as soon as possible. Refunds, replacements, or credits will be evaluated on a case-by-case basis at our sole discretion, in accordance with applicable consumer protection laws.

6.5 Promotional Codes and Discounts

Promotional codes, coupons, and discounts are subject to specific terms and conditions and may have expiration dates, usage limitations, and eligibility requirements. We reserve the right to void any promotional code or discount that is used in violation of applicable terms or suspected to be obtained fraudulently. Promotional offers cannot be combined unless explicitly stated.

7. Food Allergen and Nutritional Information

Imos Pizza makes reasonable efforts to provide accurate ingredient, allergen, and nutritional information for our menu items on the Website. However, we cannot guarantee that our products are free from any particular allergen, as our food items are prepared in shared kitchen environments where cross-contamination may occur. If you have specific dietary needs, food allergies, or medical dietary requirements, we strongly encourage you to contact us directly before placing an order. You assume all risk associated with the consumption of our products in relation to any dietary restrictions, allergies, or medical conditions.

8. Intellectual Property Rights

8.1 Ownership

All content available on or through the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the overall design and layout of the Website (collectively, "Content"), is the exclusive property of Imos Pizza or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and its Content solely for your personal, non-commercial use in connection with placing orders and using our services. This license does not include the right to: (a) modify or create derivative works based on the Website or its Content; (b) reproduce, distribute, publicly display, or publicly perform the Content; (c) commercially exploit the Content in any manner; or (d) use any data mining, robots, or similar data gathering tools in connection with the Website.

8.3 Trademarks

The name "Imos Pizza," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Imos Pizza or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

8.4 User-Submitted Content

If you submit reviews, comments, photos, feedback, or any other content to us through the Website or our social media channels ("User Content"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or control all rights in and to the User Content, that the content is accurate, and that use of the content does not violate these Terms or applicable law.

9. Third-Party Links and Services

Our Website may contain links to third-party websites, services, or applications that are not owned or controlled by Imos Pizza. These links are provided for your convenience only. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms of service and privacy policies of any third-party websites you visit. Your use of third-party websites is entirely at your own risk and subject to those third parties' terms and conditions.

10. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, SERVICES, PRODUCTS, AND FEATURES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IMOS PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE WEBSITE;
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF HARMFUL COMPONENTS.

Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, our warranties are limited to the greatest extent permitted by applicable law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL IMOS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES RESULTING FROM ANY FOOD PRODUCTS CONSUMED, INCLUDING ALLERGIC REACTIONS OR FOODBORNE ILLNESS, EXCEPT AS REQUIRED BY APPLICABLE LAW;
  • DAMAGES RESULTING FROM THE CONDUCT OF ANY THIRD PARTY ON THE WEBSITE;
  • ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES.

IN JURISDICTIONS WHERE LIMITATIONS OF LIABILITY ARE NOT PERMITTED FOR CERTAIN TYPES OF DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT ALLOWED BY LAW. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR WEBSITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless Imos Pizza, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use or misuse of the Website or services;
  • Your violation of any third party's rights, including intellectual property rights or privacy rights;
  • Any User Content you submit, post, or transmit through the Website;
  • Any fraudulent, intentional, or negligent act or omission by you in connection with your use of our Website.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Imos Pizza operates, without regard to conflict of law principles.

You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States. You consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceedings in such courts.

These Terms are also subject to applicable federal laws, including but not limited to the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in interstate commerce, and any other applicable federal consumer protection statutes. Users located in the State of California acknowledge the applicability of the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) as they relate to the collection, use, and protection of personal data, as further described in our Privacy Policy.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute with us informally by contacting us at [email protected] with a written description of the dispute and the relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution as described below.

14.2 Binding Arbitration

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE BREACH THEREOF, OR YOUR USE OF THE WEBSITE OR SERVICES SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. THE ARBITRATOR'S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

Arbitration proceedings shall be conducted in the English language. The arbitration shall take place in the United States, at a location mutually agreed upon by the parties or as determined by the AAA.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND IMOS PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONDUCT A CLASS ARBITRATION OR MULTI-PARTY ARBITRATION.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency equitable relief before a court of competent jurisdiction in order to maintain the status quo pending arbitration. Either party may also bring claims in small claims court for disputes within that court's jurisdiction.

15. Term and Termination

15.1 Duration

These Terms shall remain in full force and effect for as long as you use our Website or maintain an account with us. Certain provisions of these Terms, by their nature, shall survive termination, including intellectual property rights, indemnification obligations, disclaimers, limitation of liability, and governing law provisions.

15.2 Termination by You

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations or liabilities that arose prior to termination, including the payment of any outstanding charges.

15.3 Termination by Us

We reserve the right, in our sole discretion, to suspend or permanently terminate your access to the Website and our services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law;
  • Suspected fraudulent, abusive, or illegal activity;
  • Failure to pay for orders;
  • Any conduct that we determine, in our sole discretion, to be harmful to other users, to us, or to third parties.

Upon termination, your right to use the Website shall immediately cease. We shall have no liability to you for any termination of your access to the Website.

16. Changes to These Terms

We reserve the right to modify or update these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where required by applicable law, we will provide notice to you through the Website, via email, or by other means. Such notice will be given at least thirty (30) days before the changes take effect for material modifications.

Your continued use of the Website after any changes to these Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Website immediately. We encourage you to review these Terms periodically to stay informed about your rights and obligations.

17. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect as if such invalid, illegal, or unenforceable provision had never been included.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision of these Terms shall only be effective if it is in writing and signed by an authorized representative of Imos Pizza. No waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or guidelines published on the Website, constitute the entire agreement between you and Imos Pizza with respect to your use of the Website and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

20. Force Majeure

Imos Pizza shall not be liable for any failure or delay in the performance of our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government restrictions, war, terrorism, labor disputes, infrastructure failures, internet outages, or supply chain disruptions. In such events, our obligations under these Terms shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

21. Accessibility

Imos Pizza is committed to ensuring that our Website is accessible to individuals with disabilities in compliance with applicable accessibility standards, including the Americans with Disabilities Act (ADA) and the Web Content Accessibility Guidelines (WCAG) 2.1. If you experience any difficulty accessing our Website or using our services due to a disability, please contact us at [email protected] so that we can provide appropriate accommodations.

By using our Website, you consent to the practices described in our Privacy Policy.

To the extent that you are a resident of the State of California, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to delete your personal information, the right to opt-out of the sale of your personal information, and the right to non-discrimination for exercising your privacy rights. Please refer to our Privacy Policy for more information or contact us at [email protected].

23. Electronic Communications

By using our Website or communicating with us via email, you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that your use of the Website constitutes your electronic signature, which is legally equivalent to a handwritten signature under applicable U.S. federal law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and applicable state electronic signature laws.

24. No Agency Relationship

Nothing in these Terms shall be construed to create any partnership, joint venture, employment, agency, franchise, or sales representative relationship between you and Imos Pizza. You do not have any authority to bind us to any obligation or make any representation on our behalf. These Terms are for the sole benefit of you and Imos Pizza and do not confer any rights or benefits upon any third party.
